Clients remain solely responsible for their final academic submissions, business decisions, compliance obligations, institutional requirements, and use of any deliverables we provide.

4. Consultation and Project Intake

We offer an initial consultation to understand your project needs and determine whether our services are a good fit. The consultation is intended to discuss your goals, project requirements, timing, and possible service options.

After the consultation, if both parties agree to proceed, we may provide a proposal, quote, service summary, or project scope. No project work will begin until any required onboarding steps are completed, which may include written approval, a signed service agreement, and payment of any required deposit.

5. Custom Pricing and Payment Terms

Pricing is determined individually based on the scope, complexity, timeline, and level of support required for each project. Unless otherwise stated in writing:

  • Project pricing is provided through a custom quote or written agreement.
  • A 50% deposit is required before work begins.
  • The remaining balance is due upon final delivery or according to agreed project milestones.
  • Additional work outside the original scope may require a revised quote, change order, or separate agreement.

You agree to pay all fees in accordance with the applicable invoice, proposal, or written agreement.

6. Client Responsibilities

To enable timely and accurate delivery, you agree to:

  • Provide complete, accurate, and timely information
  • Review requests, drafts, and communications promptly
  • Supply any necessary data, documents, instructions, permissions, and approvals
  • Ensure that you have the right to share any materials you provide to us
  • Use our services lawfully and in accordance with your institution’s, employer’s, or organization’s rules and policies

We are not responsible for delays, inaccuracies, or project limitations caused by incomplete information, changing instructions, missing materials, or delayed client responses.

7. Project Timelines and Delivery

Project timelines vary based on the complexity and scope of the work. Estimated delivery dates are provided in good faith based on the information available at the time of quoting or intake.

Any timeline may be adjusted if project requirements change, if additional work is requested, if the client delays providing necessary information or approvals, or if circumstances outside our reasonable control affect performance. We will communicate material timeline changes as reasonably practicable.

8. Revisions and Satisfaction Process

We aim to provide personalized, one-on-one support and to address reasonable concerns related to the agreed scope of work. If you are dissatisfied with a deliverable, you must notify us promptly and in reasonable detail so we may review the concern and determine whether revisions are appropriate under the project scope.

Reasonable revisions that fall within the agreed scope may be addressed at our discretion or as specified in the written project agreement. Requests that materially change the project direction, add new work, or exceed the agreed scope may require additional fees.

9. Refund Policy

Client satisfaction is important to us. However, refunds are limited as follows unless otherwise stated in a separate written agreement:

  • If we fail to meet an agreed-upon deadline due solely to our own fault and without a mutually agreed extension, we will refund amounts paid for the affected service.
  • We do not offer refunds for completed services that were delivered substantially as agreed where the client later changes their mind, changes direction, delays their own project, or decides not to use the deliverables.
  • Deposits may be non-refundable once work has begun, except where otherwise required by law or expressly stated in writing.

10. Intellectual Property and Permitted Use

Unless otherwise agreed in writing:

  • ProData Analytics retains ownership of its pre-existing materials, methods, frameworks, templates, software, automations, workflows, training materials, and know-how.
  • Upon full payment, the client receives a limited, non-exclusive right to use the final deliverables for their intended personal, academic, professional, or internal business purpose.
  • You may not resell, sublicense, commercially redistribute, or falsely claim authorship of our proprietary materials, tools, templates, or methods.

If the project involves client-owned materials, the client retains ownership of those original materials, subject to any rights necessary for us to perform the services.

11. Academic Integrity and Ethical Use

Clients are responsible for ensuring that their use of our services complies with all academic integrity policies, institutional rules, authorship requirements, research ethics obligations, and disclosure rules that apply to them.

We do not assume responsibility for a client’s failure to comply with institutional, ethical, professional, or legal requirements.

12. Communications and SMS

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the website or services shall not exceed the amount actually paid by the client to ProData Analytics for the specific service giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless ProData Analytics LLC and its owners, affiliates, contractors, agents, and service providers from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

  • Your use of the website or services
  • Your violation of these Terms
  • Your violation of applicable law, institutional policy, or third-party rights
  • Materials or information you provide to us

18. Termination

We may decline, suspend, or terminate services or website access at our discretion if:

  • You breach these Terms or any written agreement
  • You fail to pay amounts due

  • Continued performance becomes impracticable, unsafe, or professionally inappropriate

Termination does not eliminate your obligation to pay for work already performed or authorized.

19. Scholars Track Geographic Scope

As described on our website, Scholars Track study-abroad services are currently limited to graduate and undergraduate programs in the United States and Canada, with limited services in Italy strictly for PhD programs in Biotechnology and Genetic Engineering. We may modify, expand, or discontinue these offerings at any time.

20. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.

We may update these Terms from time to time. Updated Terms will be posted on our website with a revised effective date. Your continued use of the website or services after updated Terms are posted constitutes acceptance of the revised Terms.
